1. Acceptance of Terms

Welcome to Proflowy. By accessing or using our booking management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users, including service providers ("Providers") who offer booking services and clients ("Clients") who book appointments.

2. Service Description

Proflowy is a booking management platform that enables:

  • Providers to create public booking pages and manage appointments
  • Clients to discover providers and book services
  • Both parties to manage schedules, receive notifications, and track bookings

Proflowy is operated by Vitalii Bahmet, PE (Private Entrepreneur). Proflowy acts as a platform facilitating connections between Providers and Clients. We are not a party to any service agreement between Providers and Clients.

3. User Accounts

3.1 Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 16 years old to create an account. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Provider Responsibilities

If you use Proflowy as a Provider, you agree to:

  • Provide accurate descriptions of your services, pricing, and availability
  • Honor confirmed bookings or provide reasonable notice of cancellation
  • Deliver services professionally and as described
  • Comply with all applicable laws and regulations for your services
  • Maintain appropriate licenses, permits, and insurance as required
  • Respond to client inquiries and booking requests in a timely manner
  • Handle client personal data in accordance with applicable privacy laws

5. Client Responsibilities

If you use Proflowy as a Client, you agree to:

  • Provide accurate contact information when booking
  • Attend scheduled appointments or provide reasonable notice of cancellation
  • Pay for services as agreed with the Provider
  • Treat Providers with respect and professionalism
  • Comply with Provider policies regarding cancellations and rescheduling

6. Bookings and Appointments

6.1 Booking Process

When a Client submits a booking request, it may be subject to confirmation by the Provider. A booking is considered confirmed when the Provider accepts it or when automatic confirmation is enabled.

6.2 Cancellations and Rescheduling

Cancellation and rescheduling policies are set by individual Providers. Clients should review these policies before booking. Proflowy is not responsible for disputes arising from cancellations or no-shows.

6.3 No-Shows

Repeated no-shows by Clients or Providers may result in account restrictions or termination at our discretion.

7. Payments and Subscriptions

7.1 Subscription Plans

Proflowy offers various subscription plans with different features. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are processed through our payment provider, Paddle.

7.2 Payment Processing

All payment transactions are processed by Paddle, our Merchant of Record. Paddle handles billing, taxes, and compliance. By purchasing a subscription, you also agree to Paddle's terms of service.

7.3 Refunds

Subscription fees are generally non-refundable. However, we may offer refunds at our discretion or as required by applicable law. For refund requests, please contact our support team.

7.4 Provider-Client Payments

Payments between Providers and Clients for services rendered are handled directly between those parties. Proflowy is not responsible for payment disputes between Providers and Clients.

8. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Provide false, misleading, or inaccurate information
  • Impersonate any person or entity
  • Harass, abuse, or harm other users
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service without permission
  • Collect or harvest user information without consent
  • Use the Service to send spam or unsolicited communications
  • Engage in any activity that violates third-party rights

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Proflowy and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

9.2 Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF PROVIDER SERVICES
  • WE ARE NOT LIABLE FOR DISPUTES BETWEEN PROVIDERS AND CLIENTS
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold Proflowy harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or for any other reason at our discretion with reasonable notice.

13. Governing Law and Disputes

These Terms are governed by the laws of the European Union and the applicable member state where our principal place of business is located, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, except where prohibited by law. EU consumers retain their right to bring claims in their local courts.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proflowy.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
